(the “Platform”), you agree to be legally bound by these Terms of Use (“Terms”).

These Terms apply to all visitors, registered users, and business representatives using the Platform.
2. Eligibility and Professional Use
The Platform is strictly reserved for business entities and professionals operating in freight forwarding,
logistics, and transport.
You represent and warrant that:
- You are at least 18 years old
- You have authority to bind your company
- All information provided is accurate and up to date
UTA may request verification documentation at any time.
3. Nature of the Platform
UTA Network is a digital B2B platform that facilitates professional visibility and business networking.
UTA:
- Is not a carrier
- Is not a freight forwarder
- Is not a broker
- Does not guarantee shipments
- Does not intervene in commercial contracts
All agreements are strictly between Users.
4. Account Registration and Security
Users must maintain confidentiality of login credentials.
Users are responsible for all activity under their account.
UTA may suspend or terminate accounts for fraud, misuse, or violation of these Terms.
5. User Conduct
Users agree not to:
- Publish false or misleading trade lane data
- Misrepresent credentials
- Scrape or extract platform data
- Circumvent system protections
- Upload malicious software
- Use the Platform unlawfully
UTA reserves the right to remove content and restrict access.
6. Subscriptions and Payments
UTA may offer:
- Free trials
- Paid subscriptions
- Tiered access plans
Unless required by law, fees are non-refundable.
Payments may be processed by third-party providers.
7. Intellectual Property
All software, branding, database structures, trade lane logic, and content are owned by UTA.
Users may not:
- Copy
- Reverse engineer
- Resell
- Redistribute
Without written authorization.
8. Confidentiality
Users must not disclose confidential partner information obtained via the Platform.
UTA may monitor abnormal usage patterns.
9. Disclaimer
THE PLATFORM IS PROVIDED “AS IS”.
UTA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
UTA DOES NOT GUARANTEE BUSINESS RESULTS.
10. Limitation of Liability
UTA SHALL NOT BE LIABLE FOR:
- Business losses
- Lost profits
- Indirect damages
- Failed partnerships
UTA’s maximum liability shall not exceed the amount paid by the user in the preceding 12 months (or HKD
1,000 if no fees were paid).
11. Indemnity
Users agree to indemnify UTA against claims arising from:
- Their content
- Their business agreements
- Violation of these Terms
- Violation of applicable laws
12. Governing Law and Arbitration
These Terms are governed by the laws of Hong Kong (HKSAR).
Any dispute shall be finally resolved by arbitration administered by the Hong Kong International
Arbitration
Centre (HKIAC) under its rules.
Seat of arbitration: Hong Kong.
Language: English.
Award: Final and binding.
13. Changes
UTA may update these Terms at any time.
Continued use constitutes acceptance.
