These Terms of Use (“Terms”) govern access to and use of the UTA platform (“Platform”), operated by UTA, a company incorporated under the laws of Hong Kong, with its registered office in Hong Kong (“UTA”, “we”, “us”).

The Platform is a B2B digital marketplace exclusively for freight forwarders. By accessing or using the Platform, you confirm that you are acting in a professional capacity and agree to be bound by these Terms.

2. Scope of the Platform

UTA operates only as an intermediary platform connecting freight forwarders by trade lane and carrier.

UTA:

• does not act as a carrier, NVOCC, broker, shipper, consignee, or agent,
• does not execute transport services,
• does not guarantee prices, volumes, space, transit times, or service levels,
• does not intervene in commercial negotiations or contracts between users.

Any agreement concluded is strictly between the users.

3. Eligibility

Access to the Platform is limited to:

• legally registered freight forwarding companies, and
• authorized representatives acting on their behalf.

UTA reserves the right to verify, suspend, or refuse access at its discretion.

4. User Accounts & Information

Users must provide accurate, complete, and up-to-date information.

Each user is responsible for:

• safeguarding login credentials,
• all activity conducted through their account,
• ensuring compliance with applicable laws and regulations.

5. Use Restrictions

Users agree not to:

• misuse the Platform for unlawful or misleading purposes,
• scrape, copy, or commercially exploit Platform data,
• bypass visibility or payment limitations,
• solicit users outside the Platform in violation of its business model.

UTA may suspend or terminate access without notice in case of breach.

6. Fees & Payments

Certain features or extended visibility may be subject to fees.

All fees:

• are clearly communicated before purchase,
• are non-refundable unless expressly stated otherwise.

UTA is not responsible for payments or disputes between users.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of Hong Kong.

Any dispute shall be subject to the exclusive jurisdiction of the courts of Hong Kong, unless UTA elects otherwise.

11. Modifications

UTA may amend these Terms at any time. Continued use constitutes acceptance of the updated Terms.
